These Terms and Conditions apply to our website located at https://www.biopartners.science/. As used in these Terms and Conditions, the terms “we”, “us”, “our”, or “BioPartners” refers to BioPartners, Inc., its subsidiaries and affiliates. Please read the following Terms and Conditions carefully as they affect your legal rights.

1. Acceptance of terms.

1.1. By accessing or otherwise using the Site, you agree to these Terms and Conditions, including the Privacy Policy (which can be accessed via a separate link on this Site and is an integral part of these Terms and Conditions and is being incorporated herein by reference).

vi. Use or attempt to use any robots or other automated agents to navigate or search the Site, other than search agents provided by us or generally publicly available browsers;

vii. Misrepresent you identify or location while using the website or impersonate any other person or entity;

viii. Misrepresent your connections or affiliations with any persons or entities;

ix. Breach or violate, or attempt to breach or violate, the Site’s security, or attempt to change the Site’s intended behavior or functionality in any way, including but not limited to using any technology, tools or methods designed to temper, hurt, damage, change or interfere with the Site’s intended behavior and functionality;

You agree to reimburse, defend, indemnify and hold harmless BioPartners and its directors, officers, shareholders and employees, and their respective successors and permitted assigns from and against any and all claims, actions, causes of action, liabilities, losses, costs, expenses, or damages, which directly or indirectly arise out of or relate to: (a) your breach or violation of any of these Terms and Conditions and/or, (b) any of your illegal, fraudulent or misleading actions while using the Site or any resulting information, data, digital files, documents and other content.

6. Electronic communications.

6.1. Whenever you access or use the Site, submit electronic forms or send emails to BioPartners, you are communicating with BioPartners electronically. You therefore consent to send and receive any communications related to your use of the Site electronically. BioPartners will communicate with you by posting agreements, updates, disclosures, notifications, information and alerts on its websites or mobile applications or by sending you emails or other electronic messages.

6.2. You agree that all agreements, updates, disclosures, notifications, information, alerts and other communications that are provided to you electronically are legally sufficient as written communications. You further agree that any email communications sent by BioPartners to any email address provided by you to BioPartners shall be deemed delivered and effective at the time such communications were sent.

7. Intellectual Property rights.

BioPartners reserves all of its trademarks, copyrights and other intellectual property rights in the Site. Using the Site does not give you any ownership rights in the Site or any of the data, information, software, images, documents and other content available through the Site. Any use of such trademarks, or confusingly similar marks, by you or any third parties without our express written authorization is prohibited.

8. BioPartners makes no warranties or guarantees of accuracy or completeness.

8.1. BioPartners provides the Site on an “AS IS” and “AS AVAILABLE” basis. BioPartners makes no representations and extends no warranties of any kind, either express or implied, including without limitation, warranties of merchantability, non-infringement, exclusivity, or fitness for a particular purpose.

BioPartners is not responsible or liable for any errors on the Site and reserves the right to correct any erroneous pricing information or other data and information on this Site at any time and at its own discretion.

10. Modification, suspension and termination of Site.

BoPartners reserves the right to modify or discontinue, temporarily or permanently, the Site (or any part thereof) at any time, with or without notice. You agree that BioPartners shall not be liable to you or to any third parties for any modification, suspension or discontinuance of the Site (or any part thereof).

The Site may include links to third-party websites. You understand that the mere presence of any such links on the Site does not indicate or imply that BioPartners is affiliated with any such third parties or that BioPartners endorses any such third party websites or any views and opinions expressed on such websites

12. Assignment.

You may not assign any of your rights or obligations under these Terms and Conditions, in whole or in part, without BioPartners’s written prior consent, and any such attempted assignment shall be void and unenforceable. BioPartners reserves the right to assign any of its rights or obligations under these Terms and Conditions, in whole or in part, to any third party at any time at its own discretion, with or without notice.

13. Future amendments.

13.1. You acknowledge and agree that BioPartners may at any time and at its sole discretion modify, amend, add or remove any provision or portion of these Terms and Conditions, including any policies incorporated herein by reference.

13.2. It is your responsibility to read the Terms and Conditions every time you visit the Site. Your continuous access to and usage of the Site constitutes your acceptance of the Terms and Conditions and any amendments to the Terms and Conditions.

14. Severability of agreement and ambiguities related to drafting.

14.1. 15. Dispute resolution.

15.1. Any and all disputes, complaints and/or claims arising from or related to the Terms and Conditions, or the meaning, interpretation or applicability of these Terms and Conditions, shall be governed, interpreted and construed in accordance with the laws of the State of California.

15.2. To the fullest extend allowed by law, any and all disputes, complaints and claims arising from or related to the Terms and Conditions, the meaning, interpretation or applicability of these Terms and Conditions, or your access or usage of the Site shall be resolved by final and binding arbitration. The arbitration shall be administered by the American Arbitration Association under its Commercial Mediation Procedures in Los Angeles County, California USA.

15.3. You acknowledge and agree that, to the fullest extend allowed by law, you must initiate any dispute, complaint or claim within six (6) months after the cause of action subject to that dispute, complaint or claim arouse; otherwise, all disputes, complaints or claims arising from or related to that cause of action shall be permanently barred.

15.4. To the fullest extend allowed by law, any and all arbitration and resolution of disputes, complaints and claims between you and BioPartners shall take place on an individual basis; you must personally and individually file any such claim; class actions are expressly prohibited.
